Job Description Summary

As Commercial Contracts Counsel, you will provide legal, business and strategic support to the company on a variety of commercial contracts and intellectual property matters and perform other duties as requested.



Position Responsibilities:

  • Draft and negotiate a variety of commercial contracts, including but not limited to customer and vendor agreements, technology, services and consulting agreements, and non-disclosure and subcontracting agreements.

  • Partner with Sales, Operations, Digital and Tech, Marketing and other functions at all levels of the organization to ensure the effectiveness of the contract management process.

  • Support management in developing responses regarding contractual interpretation and enforcement.

  • Assist in the development of contract support processes, templates and client facing materials.

  • Provide legal advice and guidance on intellectual property matters, including patents, trademarks, copyrights, and trade secrets.

  • Conduct legal research and analysis on commercial contract issues and intellectual property matters.

  • Assist with due diligence reviews for contracts and intellectual property transactions.

  • Collaborate with clients and legal teams to identify and mitigate legal risks.

  • Manage and resolve any contractual disputes.

  • Manage outside counsel on litigation and other matters.

  • Other duties as requested by supervising attorney.



Education & Experience Requirements:

  • Must have a bachelor’s degree, J.D., and be admitted to a practice in at least one state.

  • The ideal candidate is experienced in drafting and negotiating complex commercial contracts and in managing an intellectual property portfolio.

  • 8+ years’ experience practicing law, preferably in a law firm or in-house legal department.

  • Strong written and oral communication, problem solving and project management skills.

  • Ability to work in a fast-paced and high volume environment.  Client focused, team oriented, adaptable and able to execute in a way that incorporates creativity, continuous improvement, and technology.

  • Ability to interact well with business executives and provide pragmatic advice that balances business needs and legal risks.



Physical Demands:

Must be able to bend, squat, crouch and/or reach and lift up to 25 pounds or more, as required by the job. Some Sunbelt jobs may require driving for long periods of time, loading and unloading heavy equipment, performing work in extreme weather conditions including rain, wind or excessive temperatures and/or night and weekend work. All duties must be performed according to Sunbelt’s safety policies and guidelines.

Base Pay Range: $146,214.00 - 201,044.80
